GM Associates 

These Terms and Conditions ("Agreement") govern the provision of construction services by GM Associates ("Company," "we," "us," "our") to its clients ("Client," "you," or "your"). By engaging the services of GM Associates, you agree to abide by these terms.


1. Scope of Work

1.1 Services Provided
GM Associates agrees to provide construction services as outlined in the signed contract, proposal, or agreement ("Project"). The scope of work may include, but is not limited to, design, construction, renovation, and maintenance of buildings and infrastructure as specified in the individual project documentation.

1.2 Changes to Scope
Any changes or additions to the scope of work must be agreed upon in writing by both parties. Additional charges may apply for any scope changes.


2. Client Responsibilities

2.1 Access to Site
The Client shall ensure that GM Associates has sufficient access to the project site, including necessary permits, clearances, and permissions from local authorities.

2.2 Timely Payments
The Client agrees to make all payments in accordance with the agreed-upon schedule. Late payments may incur interest or penalties as specified in the contract.

2.3 Provision of Information
The Client is responsible for providing accurate and timely information required for the completion of the project, including design specifications, budget constraints, and other essential documents.


3. Payments and Fees

3.1 Payment Terms
Payment for the services provided by GM Associates will be based on the payment schedule outlined in the contract or agreement. Payments may include a deposit, progress payments, and a final payment upon completion.

3.2 Late Payments
If payments are not received by the agreed-upon due date, GM Associates reserves the right to suspend work until payment is received in full. A late fee may be applied at a rate of [insert interest rate] per month.

3.3 Additional Costs
The Client agrees to cover any additional costs incurred due to unforeseen circumstances or changes to the project scope. These costs will be communicated and approved in writing before proceeding.


4. Project Timeline

4.1 Estimated Completion Date
GM Associates will provide an estimated completion date based on the agreed-upon project schedule. Delays may occur due to unforeseen circumstances such as weather conditions, supply chain issues, or changes requested by the Client.

4.2 Delays
GM Associates will not be held liable for delays caused by circumstances beyond our control, including but not limited to force majeure events, delays by third-party contractors, or client-related delays.


5. Warranties and Guarantees

5.1 Quality of Work
GM Associates guarantees that all work will be performed to the highest standard, in accordance with industry best practices, and in compliance with applicable building codes and regulations.

5.2 Warranty Period
A warranty period of [insert number] months/years from the date of project completion will apply to workmanship and materials used in the project. This warranty excludes damages caused by misuse, negligence, or natural wear and tear.


6. Insurance and Liability

6.1 Insurance Coverage
GM Associates maintains appropriate liability insurance, workers' compensation, and other relevant coverage as required by law. The Client is encouraged to obtain their own insurance to cover the property, contents, and any other potential risks during the project.

6.2 Liability
GM Associates will not be liable for any indirect, consequential, or punitive damages arising from delays, accidents, or other issues outside the company’s control.


7. Health and Safety

7.1 Safety Protocols
GM Associates will comply with all relevant health and safety regulations during the course of the project. The Client agrees to ensure a safe working environment for GM Associates and its subcontractors.

7.2 Site Hazards
The Client must notify GM Associates of any known hazards on the construction site that could pose a risk to health and safety.


8. Confidentiality

8.1 Confidential Information
Both parties agree to keep confidential any sensitive information, designs, plans, financial data, or proprietary materials shared during the course of the project. This obligation continues even after the completion of the project.


9. Termination

9.1 Termination by Client
The Client may terminate the contract with GM Associates upon written notice. Any work performed up to the point of termination will be billed accordingly. If the Client terminates the contract without cause, the Client will be responsible for all costs incurred to that point, including any termination fees outlined in the contract.

9.2 Termination by GM Associates
GM Associates may terminate the contract if the Client fails to make timely payments, breaches the terms of the agreement, or creates an unsafe or uncooperative work environment.


10. Dispute Resolution

10.1 Negotiation
In the event of a dispute, both parties agree to first attempt to resolve the matter through informal negotiation.

10.2 Arbitration
If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration in accordance with the rules of [insert relevant arbitration body]. The decision of the arbitrator will be final and binding.


11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [insert jurisdiction], without regard to its conflict of law principles.


12. Miscellaneous

12.1 Entire Agreement
This Agreement constitutes the entire understanding between GM Associates and the Client. Any prior agreements or understandings are superseded by this Agreement.

12.2 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement will remain in full force and effect.

12.3 Assignment
The Client may not assign or transfer their rights or obligations under this Agreement without the prior written consent of GM Associates.
